These Terms and Conditions ("Agreement") govern your use of the website ProcEzy.com("Website"), an online platform operated by ProcEzy Technologies Private Limited, a company duly incorporated under the provisions of theCompanies Act, 2013, with its registered office located at No. 22/3-1 Marappa Road, Jogupalya Halasuru, Bangalore 560008 ("ProcEzy,""We," "Our," "Us," or "Company"). The following agreement captures the terms and conditions of use ("Agreement"), applicable to your use of ProcEzy.com ("WebSite"), which promotes business between suppliers and buyers. It is an agreement between you as the User(s) or its representatives, third party vendor(s) (hereinafter the expressions “You”“Your” or “User(s)”) person(s) who accesses or uses the Website / Brand / Logo/ Business Name for any purpose and ProcEzy Technologies Private Limited. By accessing, browsing,or transacting on the Website, or by availing any services provided by ProcEzy,you signify your agreement to be bound by these Terms and Conditions. Byexpressly or impliedly accepting these Terms, you also agree to abide by our policies,including but not limited to the Privacy Policy, Return Policy, Refund Policy,and any other rules, guidelines, policies, terms, and conditions that may beapplicable under the relevant laws in India and other jurisdictions. Thesepolicies, terms, and conditions are deemed to be part and parcel of these Termsand Conditions. You also accept and agree to be bound by any amendments,updates, and modifications to the Terms and Policies from time to time. However, should younavigate away from the Website to a third-party website, you may be subject totheir terms and conditions of use and privacy policies, which may differ fromthose of ProcEzy. If you are entering intothese Terms and Conditions on behalf of your employer or as an employee, or byestoppel, you warrant that you are authorized to enter into legally bindingcontracts on behalf of your employer. You further warrant that your employeragrees to be bound by these Terms and Conditions.
1. Website –Solely a Platform
ProcEzy operates solely as an intermediary and facilitation platform, enabling communication and potential business engagement between buyers and sellers. It provides a digital interface for lead generation, information exchange, and preliminary discussions but does not participate in, control, or influence any resulting commercial transaction.ProcEzy functions only as a bridge connecting buyers and sellers, facilitating interactions and negotiations between Users for the sale or supplyof goods or services, primarily for business-to-business purposes. The Company does not own, list, sell, resell, purchase, store, transport, deliver, or manufacture any products or services on the Platform, and it does not act as anagent, broker, guarantor, or representative of either party.All commercial discussions, pricing, deliveries, payments, warranties, returns, and fulfilment obligations are conducted directly between the respective Users. ProcEzy bears no responsibility or liability for the quality, safety, legality, pricing, or availability of the products or services offered, nor for the ability or performance of Users to complete any transaction.This Agreement does not create, and shall not be construed to create, any partnership, joint venture, employment, agency, or other business relationship between ProcEzy and any third party.
2.IntellectualProperty Rights
ProcEzy is the sole owner and lawful licensee of all rights to the Website and its content ("Website Content"). Website Content includes, but is not limited to, the design, layout, text, images, graphics, sound, video, and other content made available on the Website. The Website Content is protected bycopyright and other intellectual property laws worldwide. All rights, titles, and interests in the Website and Website Content remain with ProcEzy or its licensors. The User permits ProcEzy perpetual rights to collect, use, represent, and analyze any data submitted or shared on the platform, website, or any other communication mode with ProcEzy.Users also explicitly permit ProcEzy to use such data, royalty-free, withoutgeographical restrictions, as deemed appropriate by ProcEzy. All rights to advertise ,display, or host any goods or services posted on the Website remain solely with ProcEzy, and no royalty, fees, or compensation will be paid to the user for any content shared on the Website. Subject to your compliance with these Terms and Conditions and payment of any applicable fees, if any, ProcEzy grants you a limited license to access and use the Website foryour internal business purposes only. You are not permitted to download (otherthan for page caching), modify, or reproduce the Website or any part of it without the express written consent of ProcEzy Technologies Private Limited. The Website or any portion of it, including but not limited to copyrighted material, trademarks, or proprietary information, may not be reproduced, duplicated, copied, sold, resold, or otherwise exploited for commercial purposes without ProcEzy's written consent.
3.User's Conduct
3.1. Misuse of Chat, Lead Purchase or Communication Features
3.1.1. ProcEzy has introduced (i) a lead purchase system, whereby sellers may purchase access to potential buyer enquiries or contact details (“Leads”),and (ii) an in-application chat interface, which enables Users to communicate with each other after a Lead has been purchased.All Users are required tomaintain integrity, professionalism, and lawful conduct while using the lead purchase flow, chat, or any other communication features on the Platform.
3.1.2. ProcEzy reserves the right to immediately suspend or permanently blacklist any User withoutprior notice for engaging in any of the following actions:·
- Fraud, impersonation, or any illegal or deceptive activity.
- Harassment, threats, or abusive communication directed at any User or ProcEzy personnel.
-Attempting to compromise, hack, or interfere with platform systems or security.
-Posting false or misleading responses to buyer enquiries.
-Repeated instances of unverified or fake listings or accounts.Collusion, manipulation, or misuse of the lead purchase or chat tools
Sellers may also be blacklisted for:
-Repeatedly posting misleading or false responses to buyer enquiries.
-Using fake profiles or impersonating other entities.
-Inappropriate communication or harassment of buyers.
-Receiving multiple verified complaints from buyers.
Buyers may also be blacklisted for:·
-Posting fake or spam enquiries or non-serious leads.·
-Harassing sellers or engaging in abusive communication.·
-Creating multiple fake buyer accounts.·
-Remaining consistently unresponsive after sellers have purchased leads and attempted to contact them.
3.1.3. ProcEzy may takeactions including, but not limited to, issuing warnings, restricting access tochat or lead purchase functionalities, withholding payments, or permanently terminating accounts. Any suspension or blacklisting shall not entitle the Userto refunds or compensation.
3.1.4. Most content and certain features on the Website are made available to Users free of charge. However, ProcEzy reserves the right to terminate access to specific areas or features of the Website — including for paying or registered Users — at any time, without assigning any reason and withor without notice.
ProcEzy also reserves the universal right to deny access to particular Users for any or all of its services or content without prior notice or explanation, to protect the interests of ProcEzy and/or other Users.ProcEzy further reserves the right to limit, deny, or create differentiated access to the Website and its features for different Users, or to change or introduce new features on theWebsite at any time without prior notice.
3.1.5. ProcEzy reserves the right to suspend and/or terminate the account of any User(s), removing any product listings or other User content submitted, posted, or displayed, temporarily or permanently, for any of the following reasons:
a) If such User(s) is engaged in fraudulent activity, criminal offences, or other unlawful conduct.
b) If such User(s)breaches any provision of this Agreement.
3.1.6. If such User(s)hosts, displays, uploads, modifies, publishes, transmits, stores, updates, or shares any information, products, or services that:
i. Belong to another person and to which the User(s) does not have any rights;
ii. Are patently offensive to the online community, such as sexually explicit content, or content that promotes obscenity, pedophilia, racism, bigotry, hatred, or physical harm of any kind against any group or individual;
iii. Harass or advocate harassment of another person;
iv. Are deceptive, misleading, abusive, indecent, insulting, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, menacing, ethnically objectionable, disparaging, or in breach of copyright, trademark, patent, confidentiality, privacy, or other proprietary or intellectual property rights; or otherwise injurious to third parties; or relate to or promote money laundering or gambling; or are harmful to minors in any way; or impersonate another person;
v. Threaten the unity, integrity, defense, security, or sovereignty of India; friendly relations with foreign States; or public order; or cause incitement to commit cognizable offences; or prevent investigation of any offence; or insult any other nation; or are otherwise unlawful in any manner whatsoever; or contain software viruses, malicious code, or any program designed to interrupt, destroy, or limit the functionality of any computer resource; or engage in political campaigning, commercial solicitation, chain letters, mass mailings, or spam; or are patently false or untrue;
vi. Infringe any patent, trademark, copyright, or other proprietary rights; or involve the sale of counterfeit or stolen products.
3.1.7. If such User(s) is involved in unauthorised access, use, modification, or control of the Website’s database, network, or related services.
3.1.8. User(s) shall not attempt to gain unauthorised access to any portion or feature of the Platform, or to any other systems, networks, servers, or computers connected to thePlatform, or to any of the Services offered on or through the Platform, by hacking, password “mining,” or any other illegitimate means.
3.1.9. User(s) shall not use any “deep-link,” “page-scrape,” “robot,” “spider,” or other automatic device, program, algorithm, or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the Platform or any content on it, or in any way reproduce or circumvent the navigational structure or presentation of the Platform, to obtain or attempt to obtain any materials, documents, or information through any means not purposely made available through the Platform.
3.1.10. User(s) may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of ProcEzy or its affiliates without express written consent.
User(s) may not use any meta tags or any other “hidden text”utilising ProcEzy or its affiliates’ names or trademarks without the express written consent of ProcEzy and/or its affiliates.
Any unauthorised use terminates the permission or licence granted by ProcEzy Technologies Private Limited and/or its affiliates.
3.1.11. User(s) shall at all times ensure full compliance with allapplicable laws, regulations, and policies as may be prescribed by the Company from time to time.
If ProcEzy terminates the membership of any registered User(s),including those who have subscribed to paid services (if any), such User(s)shall not have the right to re-enrol or join the Website under a new account or name unless invited to do so in writing by ProcEzy.
In any case of termination, no subscription, membership fee, or charges paid (if any) by the User(s) will be refunded.
User(s) acknowledge that inability to use the Website, wholly or partially, for any reason may adversely affect their business.
User(s) hereby agree that in no event shall ProcEzy be liable to any User(s) or any third parties for any inability to use the Website (whether due to disruption, limited access, modification, or termination of any features), or for any delays, errors, or omissions in communication or transmission, or for any damage (direct, indirect, consequential, or otherwise) arising from the use of or inability to use the Website or any of its features.
4.Lead Purchase and Chat Interactions
ProcEzy provides:
(i) a lead purchase mechanism, through which sellers may purchase access to potential buyer enquiries or contact details (“Leads”) made available on the Platform; and
(ii) an in-application chat interface, designed solely to enable communication between Users after a Lead has been purchased.
ProcEzy does not operate, administer, or facilitate any auction, tender, or competitive bidding process. The Platform does not host or support any public bidding, tendering, or automated quotation system.
Once a Lead is purchased, sellers may connect with potential buyers and, at their sole discretion, engage in commercial discussions and negotiate pricing, quantities, delivery terms, or any other business terms either through the in-application chat or by taking the conversation outside the Platform.Users may freely exchange contact details, banking information, or any otherbusiness information necessary to progress such discussions.
All negotiations, agreements, deliveries, and financial transactions—whether conducted on or outside the Platform—are entirely between the respective Users and remain outside the operational scope, control, and responsibility of ProcEzy. “Outside the operational scope of ProcEzy/ Outside the scope” means that ProcEzy has no monitoring duty, liability, or participation in any commercial negotiations, payments, transportation, or deliveries between Users.
ProcEzy’s role is limited strictly to enabling discovery and connection between potential buyers and sellers. The Company has no role in the delivery, shipment, transportation, or fulfilment of any orders and assumes no liability for damaged, defective, delayed, or undelivered goods. Any such issues are to be resolved directly between the buyer and seller.
4.1 Non-Refundable Nature of Leads
All Leads purchased by sellers on the Platform are strictly non-refundable, non-transferable, and non-exchangeable.
Once a Lead has been successfully purchased and access granted, no refund, credit, or reversal shall be issued by ProcEzy, irrespective of the outcome of communication, buyer responsiveness, or conversion.
Sellers are advised to review available information carefully and exercise discretion before completing any Lead purchase.
4.2 Users Expressly Acknowledge the Followingi.
i.No payment facilitation or agency
ProcEzy is not a payment facilitator, broker, or contracting agent between Users. Any payments or commercial transactions made directly between Users—whether through or outside the Platform—are undertaken solely at their own risk and responsibility. Lead purchase fees paid to ProcEzy are only for access to potential buyer details and do not constitute commissions, brokerage, or guarantees of conversion.
ii. No guarantee of conversion or work
Purchasing a Lead only provides access to potential buyer details and/or the chat feature. ProcEzy does not verify, endorse, or guarantee that any Lead will result in actual work, revenue, or contract, nor does it assure fulfilment of any proposal, quotation, or order between Users.
iii. Independent business decisions
Users are solely responsible for their business decisions and must exercise due diligence before transacting, sharing information, or relying on any Lead or communication on or through the Platform.
iv. No control over products, services, or logistics
ProcEzy merely facilitates the exchange of information between buyers and sellers. It does not represent either party, charge commissions, or control any part of the transaction, fulfilment, or logistics process. ProcEzy assumes no liability for the quality, safety, legality, pricing, delivery, or availability of any goods or services, or for the ability of buyers or sellers to complete purchases or sales.
v. Transaction and identity risk
Users acknowledge that risks may exist when dealing with unknown individuals or entities. While ProcEzy employs reasonable verification tools, it cannot guarantee the authenticity or identity of every User. Users must exercise prudence and independently verify other parties before engaging in any commercial activity.
vi. Assumption of transaction risk
Users fully assume all risks of conducting any purchase or sale transaction (“Transaction Risk”) in connection with the Platform or its services, and accept responsibility for any resulting liability, loss, or harm. ProcEzy shall not be responsible for any business loss, non-payment, delivery issues, or failed communication between Users.
vii. Compliance with licences and laws
Users are solely responsible for obtaining all licences and permissions (where required) to re-sell, trade, redistribute, export, or offer products or services for sale. All activities must comply with applicable commercial, taxation, export/import, data-protection, and other laws, as may be prescribed by the Company from time to time.
4.3 Unilateral Modification of Terms
ProcEzy reserves the absolute right to amend, modify, supplement, suspend, or update these Terms of Use or any other policy (including the Privacy Policy or Return Policy) at its sole discretion and without prior approval from Users.
Any such modification becomes effective upon:
(a) publication of the updated Terms on the Platform; and/or
(b) notification via email, SMS, push notification, or in-app message to registered Users.
Continued access to or use of the Platform after such change constitutes deemed acceptance of the revised Terms. Users should regularly review the Terms and related policies to stay informed of updates.
4.4 Lead Pricing and Fee Modification
ProcEzy reserves the absolute right to determine, modify, increase, decrease, or otherwise revise the lead purchase fees (“Lead Fees”) for any product category, service, or segment on the Platform at any time and at its sole discretion, without prior notice or obligation to any User.
All displayed Lead Fees are subject to change without intimation. The Lead Fee applicable at the time of purchase shall be final and binding.
For example, if the Lead Fee for products under the “Laptops” category is ₹50 today, ProcEzy may revise it to ₹100 or any other value at any time, without prior communication. Such revisions shall not entitle any User to refunds, adjustments, or credits for previously purchased Leads.
Users are encouraged to review the applicable Lead Fees before making any purchase. Continued use of the Platform following such modification shall constitute deemed acceptance of the revised pricing.
5. Limitation of Liability and Indemnity
ProcEzy shall not be held liable for any losses, damages, or grievances arising from communications, chats, lead purchases, or negotiations between users, including any offensive or misleading content. ProcEzy does not guarantee the fulfilment of any proposal, quotation, order, or commercial understanding between users and shall not be held responsible for any direct payments made by users to vendors or other users outside the Platform.
ProcEzy acts solely as a facilitation and enablement platform, not as an intermediary in payments, contracts, or guarantees of business. The decision to transact or enter into any business arrangement rests entirely with the users.In the event of any fraudulent activity, impersonation, or illegal transaction identified on the platform, ProcEzy shall extend reasonable cooperation to law enforcement or regulatory authorities, including the provision of all relevant and available data, communications, and account details, as legally required. However, ProcEzy shall not, under any circumstances, be made a party to or held liable in any legal claim, dispute, or proceeding between users or any third parties arising from such fraudulent or unlawful acts. All liability and legal consequences will rest solely with the user(s) involved in such activities.
The features and services available on the Website are provided on an "as is" and "as available" basis. ProcEzy hereby expressly disclaims any and all warranties, whether express or implied, including but not limited to warranties of condition, quality, durability, performance, accuracy, reliability, merchantability, or fitness for a particular purpose.ProcEzy makes no representations or warranties regarding the validity, accuracy, correctness, reliability, quality, stability, or completeness of any information provided on or through the Website, including the display or listing of tenders, which in no way is endorsed by ProcEzy. ProcEzy does not have any association with the publisher or the published content in any manner.Users hereby agree to indemnify and hold ProcEzy, its affiliates, directors, officers, and employees harmless from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) that may arise, directly or indirectly, as a result of any claims asserted by third-party rights claimants or other third parties related to products offered or displayed on the Website. Users also agree that ProcEzy is not responsible for and shall have no liability for any material posted by other users or any other individuals, including defamatory, offensive, or illicit material, and that the risk of damage from such material rests entirely with the user(s).ProcEzy reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by any user. In such cases, the user(s) shall cooperate with ProcEzy in asserting any available defenses.Under no circumstances will ProcEzy be held liable for any consequential, incidental, special, exemplary, or punitive damages, including but not limited to damage to reputation, lost profits, or losses that may result from your purchase of products or services on the platform, even if ProcEzy has been advised of the possibility of such damages.ProcEzy does not guarantee the quality or satisfaction of any products or services. Users are advised to transact based on their best judgment, and ProcEzy, including its affiliates or representatives, assumes no liability for the satisfaction or quality of the products/services offered on the platform.Any advertisements, product features, warranties, guarantees, performance claims, or promises made on the platform by any seller, user, or service provider are not vetted, verified, endorsed, or qualified by ProcEzy. ProcEzy will not entertain or be held liable or indemnify any damages, losses, penalties, or compensation for any parties involved.ProcEzy shall not be held liable for any delay, failure, or disruption of content or services delivered through the Website, resulting directly or indirectly from acts of nature or causes beyond its reasonable control. These may include but are not limited to internet failures, computer failures, telecommunications failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, natural disasters, acts of God, wars, governmental actions, or orders of domestic or foreign courts.Users agree to indemnify and save ProcEzy, its affiliates, directors, officers, and employees harmless from any losses, claims, or liabilities (including legal costs on a full indemnity basis) arising from their use of the Website or breach of any Terms and Conditions of this Agreement. Users further agree to indemnify ProcEzy for any breach of representations and warranties made by them.
6. Selective Access
ProcEzy reserves the right to select and offer selective privileges, benefits, or access to certain features, pricing, web pages, marketing campaigns, and exemptions from any part of these Terms and Conditions, or confer any benefits of any form to any User(s) as it deems fit. ProcEzy also reserves the right to provide early access to User(s) as it deems appropriate. ProcEzy can revoke, cancel, or withdraw any such privileges, benefits, or access at any time without prior intimation.
7. Update / Roll-Back
ProcEzy reserves the right to update or roll back any feature, service, offer, benefits, access, tools on the platform or website, and any Terms and Conditions, Privacy Policy, Returns Policy, or any such policies on the platform without prior notice to any party. These updates or roll-backs can be made at ProcEzy’s sole discretion.
7A. Amendments; Unilateral Changes and Notice
7A.1. Right to Amend.
ProcEzy may, at its sole discretion, update, amend, supplement, or otherwise modify (i) these Terms and Conditions, (ii) the Privacy Policy, Return Policy, Disclaimer, and any other policies published on the Website, and (iii) any service-specific terms, product terms, feature terms, or program terms made available by ProcEzy from time to time (collectively, the “Platform Terms”). ProcEzy may also update or modify any agreement or arrangement executed or accepted electronically through the Platform in relation to your use of the Platform or any feature thereof (“Ancillary Agreements”), to the extent permitted by applicable law.
7A.2. Manner of Notice.
ProcEzy will communicate changes by one or more of the following:
(a) updating the “Updated on” date and publishing the revised Platform Terms on the Website;
(b) sending an email to your registered email address;
(c) displaying an in-product / in-account banner or notification;
(d) sending an SMS / WhatsApp message to your registered mobile number; and/or
(e) sending a push notification (if enabled).
7A.3. Effective Date.
Unless stated otherwise in the notice:
(a) Non-material changes (e.g., clarifications, formatting, minor updates) are effective upon publication on the Website.
(b) Material changes that reduce, expand, or materially alter your or ProcEzy’s rights or obligations (including fee changes, material feature changes, or changes to dispute resolution) will become effective no earlier than seven (7) days after notice is provided under Clause 7A.2.
(c) Immediate changes: ProcEzy may implement changes immediately (with contemporaneous notice) where required to address legal or regulatory requirements, security issues, fraud/abuse prevention, or urgent product fixes.
7A.4. Deemed Acceptance; Opt-Out.
Your continued access to or use of the Platform on or after the effective date constitutes your acceptance of the revised Platform Terms and/or Ancillary Agreements. If you do not agree, you must stop using the Platform before the effective date and, where applicable, may terminate the affected service pursuant to the then-applicable termination terms. Any refunds (if applicable) will be governed by the relevant policy or agreement.
7A.5. Prospective Application.
Unless expressly stated, amendments apply prospectively and will not alter rights and obligations that have fully accrued in relation to transactions concluded before the effective date.
7A.6. User Responsibility for Contact Details.
You are responsible for keeping your email address, mobile number, and notification preferences current. Notices sent to your last provided contact details are deemed received when dispatched (email when sent from ProcEzy’s mail servers; SMS/WhatsApp upon successful hand-off by the provider; in-product banners when displayed in your account).
7A.7. Hierarchy and Conflicts.
In the event of any conflict between (i) these Terms and Conditions and (ii) any other Platform Terms or Ancillary Agreements, the document expressly stated to prevail will govern for the subject matter of that conflict. If no document is specified to prevail, these Terms and Conditions will govern.
8. No Prejudice
No such Selective Access, Updates, or Rollbacks can be considered prejudicial against any User(s). These actions shall not entitle the User to any form of payments, reimbursements, indemnification, or any form of compensation for losses, damages, penalties, reimbursements, or any consideration of any kind, whatsoever.
9. Anti-Counterfeiting Policy
ProcEzy strives to ensure a trustworthy shopping experience for all customers. The sale of counterfeit or inauthentic products (including those that have been illegally replicated, reproduced, or manufactured) is strictly prohibited. By accessing, browsing, or using the platform, including listing products, any person, either themselves or through their representatives intending to offer products for sale through the platform, agrees to accept and fully comply with this Anti-Counterfeiting Policy.ProcEzy reserves the right to remove, suspend, or restrict listings that may contain counterfeit products and/or that may violate the Terms of Use and Product Listing Policy of the Platform. Sellers on ProcEzy are not allowed to list products that infringe trademarks (including logos), copyrights, patents, or describe their products in a way that could cause customer confusion or infringe upon the rights of any organization or individual, whether legal or personal.Sellers may be asked to provide documentation such as invoices or any other relevant documents, depending upon the circumstances, to prove the authenticity of the products listed. Failure to provide the required documentation will lead to appropriate action being taken by ProcEzy.In the event that a seller’s listing, marketing, or sale involves counterfeit products, ProcEzy may take necessary actions, such as but not limited to suspending or terminating the seller’s account, removing any or all product listings from the seller’s account, withholding or forfeiting payments, or taking other actions that may be deemed necessary. The seller listing counterfeit products may also be independently subject to civil or criminal proceedings initiated by third-party rights holders. ProcEzy, however, holds no liability or makes no assurances to indemnify any loss, damage, or penalty that occurs due to any infringement mentioned above. The actions taken do not imply that ProcEzy will automatically block or delist any such Sellers or Users from the platform or website. The degree of action to be taken is at the sole discretion of ProcEzy.
10. Miscellaneous Provisions
I. Headings for any section of the Agreement are for reference purposes only and do not define, limit, construe, or describe the scope or extent of such section.
II. ProcEzy’s failure to enforce any right or failure to act with respect to any breach by a User under this Agreement and/or Privacy Policy will not be deemed a waiver of that right or a waiver of the right to act with respect to subsequent or similar breaches.
III. ProcEzy and User(s) are independent contractors, and no agency, partnership, joint venture, or employee-employer relationship is intended or created by these Terms. The relationship between you and ProcEzy is one of independent contractors. Nothing in these Terms will be construed to:
(a) give either party the power to direct and control the day-to-day activities of the other,
(b) constitute the parties as partners, joint ventures, co-owners, or otherwise participants in a joint or common undertaking, or
(c) allow you to create or assume any obligation on our behalf for any purpose whatsoever.If any provision of these Terms is held to be invalid or unenforceable, such provision shall be deleted and the remaining provisions will remain valid and be enforced.
11. Applicable Law and Jurisdiction
Each party to this Agreement irrevocably agrees to comply with all applicable laws. The parties irrevocably agree that the courts of Bengaluru shall have exclusive jurisdiction to hear, settle, or determine any breach, disputes, or claims arising out of this Agreement.
12. Grievance Mechanism
The User(s) may submit any grievance with respect to the Platform or the Services, including grievances related to any abuse on the Platform and/or any discrepancies or issues with respect to processing of information, to the Grievance Officer. ProcEzy will endeavor to resolve grievances and concerns within the timelines specified under applicable laws. ProcEzy reserves the right to take action on grievances or complaints received and may take disciplinary action as deemed fit, including but not limited to:
a. Blocking, restricting, downgrading, suspending, or terminating the subscription of, access to, or current or future use of any Service.
b. Suspending or terminating the User(s) account and any related accounts at ProcEzy’s discretion.
c. Removing any product listings or other User(s) content that has been submitted, posted, or displayed.
d. Withholding settlement of payments by ProcEzy to the User(s).
e. Any other corrective actions, disciplinary actions, or penalties as ProcEzy deems necessary.
